POSITION OVERVIEW

The Contracts Director provides oversight and leadership to the contracts staff and oversees MTI Motion’s contracts management and compliance functions and responsibilities, which includes a full range of planning and duties critical to business success. This is a key management position with responsibility for a full range of related activities.

ESSENTIAL FUNCTIONS

Contract negotiations

  • Responsible for customer interface over contract life cycle for both OEM and repair, maintenance, overhaul and service agreements.
  • Assist the CFO with drafting, revising and negotiating contracts and terms.
  • Create awareness of, and understands, potential business at risk.
  • Must be an expert negotiator.

Contract management

  • Manages contracts, with the support of the program management and legal teams, to ensure:
    • Compliance with performance and delivery obligations and enforcement of intellectual property rights along with all terms and conditions.
    • Appropriate measures are taken regarding contractual triggers and events, such as milestones (e.g., development, production delivery, etc.), price expiration, product-phase changes, contract expiration or termination, etc.
    • Proper maintenance of agreements within the Contract Management System to ensure all contracts and relevant information are timely and accurately maintained in the system.
  • Responsible for the strategy and approach for monitoring internal and external commissions agreements, warranty provisions, incentives and licensing.
  • In coordination with the legal organization, responsible for interpreting and enforcing all contract provisions.

Customer claims management

  • In coordination with the program management and customer service organizations and other applicable functions, leads the negotiation and resolution of non-routine warranty service and product claims or any claims escalated from the Customer Service team.
  • Responsible for addressing and resolving claims regarding significant safety, quality, delivery, responsiveness and cost (SQDRC) matters.
  • Supports Corrective Action Committee and Corrective Action Board.
  • Generally, addresses issues escalated by the Contract Management Coordinator.

REQUIREMENTS AND PREFERRED EXPERIENCE

  • Bachelor’s degree in arts/sciences (BA/BS) or higher
  • Seven to 10 years’ experience in contract management and negotiation.
  • Experience with aerospace contracts or related.
  • Contract terms, such as LOL, LDs, warranty, indemnity, offsets, basic FARs/DFARs.
  • Contract types including, NDAs, LTAs, GTAs, MOAs, among others.
  • Customer-facing negotiation skills and relationship management.
  • Redlining and drafting contract language.
  • Contract administration.
  • Experience in customer claims management and support.
  • Strong oral and written communication skills.
  • Able to work independently; self-motivated.
  • Strong ability to manage fluctuating priorities.
  • Working with different foreign customers/cultures; familiar with ITAR requirements.
  • Effective listening and strong collaboration skills.
